This website is intended to introduce the applications and services we develop and to provide information about our activities. While we strive for the accuracy and usefulness of the information posted, we do not warrant its completeness or currency. The content of this site may be changed, added to, or removed without notice.

13. Inquiry management platform (ContactBox)

These are the conditions that apply when you send an inquiry, through the inquiry feature of an app we provide (such as MumoStream and NyXGridEncode), to the inquiry management platform (ContactBox) that we operate.

• Users must not use the inquiry feature to send false information, content that infringes the rights of others, or content that violates the law.
• We use the inquiries you submit to address problems and improve our services. Personal information is handled in accordance with our Privacy Policy.
• We do not guarantee a reply to every inquiry.

14. MumoStream (app and server)

14.1 License

We grant users a non-exclusive, non-transferable right to use the MumoStream client app and server software (the "Software") in accordance with these Terms. Except where permitted by law, users must not reverse-engineer, decompile, or modify the Software.

14.2 In-app purchases and subscriptions

The client app is free to download, and certain features (Pro features) are unlocked through in-app purchase.

• The available plans are a monthly plan and an annual plan (both auto-renewing subscriptions), and a one-time purchase. The price of each plan is as shown on the App Store for the iOS version and on Google Play for the Android version.
• For the iOS version, an auto-renewing subscription renews automatically and is charged to your Apple Account unless auto-renewal is turned off at least 24 hours before the end of the current period. You can cancel or manage your subscription from the subscription management in your device's "Settings." Purchases, billing, and refunds are subject to the conditions set by Apple (the App Store).
• For the Android version, an auto-renewing subscription renews automatically and is charged to your Google Account until you cancel it. You can cancel or manage your subscription under "Payments & subscriptions" > "Subscriptions" in the Google Play Store app. A cancellation takes effect at the end of the current period. Purchases, billing, and refunds are subject to Google Play's policies.

14.3 Operating a self-hosted server, and the user's responsibilities

The server software is operated in an environment that the user provides. Setting up the server, making it publicly accessible, securing it, managing its data, and backing it up are all the user's own responsibility. The user warrants that they themselves hold the necessary rights to, or have obtained the rights holder's permission for, the content distributed, viewed, or stored through the Software. We are not involved in any way with the content the user handles, and we are not responsible for its content.

14.4 Prohibited conduct and disclaimer

The unauthorized distribution or reproduction of works for which the rights holder's permission has not been obtained, unauthorized access to third-party servers or networks, and redistribution or resale beyond the scope of the license are prohibited. The Software is provided "as is," and except in cases of our willful misconduct or gross negligence, we are not liable for any loss or damage arising from its use, the inability to use it, or any loss of data.

15. NyXGridEncode (batch encoder for Windows)

15.1 License and editions

We grant users a non-exclusive, non-transferable right to use NyXGridEncode in accordance with these Terms. NyXGridEncode is available as a free edition, which can be used without a license key, and as paid editions, whose feature limits are lifted by registering a license key. The features available in each edition, the number of jobs that can be queued, the number of GPUs that can be used at the same time, the number of devices that can take part in distributed encoding, and similar limits are shown on the product page. The purchase, refund, and revocation of licenses for the paid editions are governed by Section 17. The conditions for trial licenses are set out in 17.9, and the operation of NyXGridEncode after the trial period of a trial license ends is set out in 15.7.

Except where permitted by law, users must not reverse-engineer, decompile, or modify NyXGridEncode, nor circumvent or disable its license verification or edition limits.

15.2 License verification and device registration

To use a paid edition, the device on which you register the license key must be able to connect to the internet. After registration, NyXGridEncode periodically connects to our license management server to verify that the license is valid; while it cannot connect, it continues to work for a limited period only. If verification cannot be completed within that period, the paid features become unavailable. Even in that case, you can continue to use the software within the scope of the free edition, and once the license can be verified again, the paid features become available without re-registration. There is a limit on the number of devices that can be registered; to use the software on further devices, you must deregister or replace a device you have already registered. There is also a limit on the number of times a device can be deregistered from within NyXGridEncode. However, replacing a registered device when the limit on the number of registered devices has been reached does not count toward that limit. The maximum number of deregistrations is shown on the product page. The information sent for license verification is handled in accordance with our Privacy Policy.

15.3 Your content and the handling of source files

The video files you convert with NyXGridEncode are provided by you. You warrant that you hold the necessary rights to, or have obtained the rights holder's permission for, the content you convert. We are not involved in any way with the content you convert, and we are not responsible for it.

By default, NyXGridEncode does not delete or overwrite your original video files. However, if you configure the folder-watching feature to move source files, send them to the Recycle Bin, or delete them, the software handles the source files according to that setting once conversion has completed. Backing up your source files and conversion results is your responsibility.

15.4 External tools

NyXGridEncode does not bundle the external tools it uses for conversion (FFmpeg, NVEncC, QSVEncC, VCEEncC, and libVLC). They are third-party programs provided by their respective publishers. When you choose to download them in the installer or on a NyXGridEncode screen, your device downloads them directly from each publisher (the installer selects FFmpeg for download by default), and you use the external tools under their respective license terms. We make no warranty as to the operation, continued availability, or license terms of the external tools. Except in cases of our willful misconduct or gross negligence, we are not liable for any loss or damage incurred by you arising from the external tools. The download sources and licenses of the external tools are listed on the Licenses page of the product site and in the documents included with the download.

15.5 Distributed encoding and your network

Distributed encoding shares work across multiple devices that you provide, within a network that you manage. Securing the communication between devices (managing the authentication token, limiting the exposure of the listening port, and keeping the network safe) is your responsibility, and you must not use this feature on devices or networks that you do not manage. Except in cases of our willful misconduct or gross negligence, we are not responsible for the files and data exchanged between devices in connection with distributed encoding.

15.6 System requirements and disclaimer

The system requirements for NyXGridEncode are shown under System requirements on the product page. Conversion speed, quality, and the formats supported depend on the configuration of your device (including whether a GPU is present and which one, and the versions of the external tools) and on the content of the input files, and we make no warranty regarding them. NyXGridEncode is provided "as is," and except in cases of our willful misconduct or gross negligence, we are not liable for any loss or damage arising from its use, the inability to use it, defects in conversion results, or the loss of source files or conversion results.

15.7 End of the trial period of a trial license

When the trial period of a trial license ends, NyXGridEncode runs within the scope of the free edition. Your settings and queue are not deleted. If NyXGridEncode is running as a Windows service in any mode other than Agent, it stops the service and changes the startup type of the service to Manual once the running jobs have finished. The next time you open the NyXGridEncode window, it asks whether to remove the service.

16. Conditions for self-hosted software

These are the conditions that apply when you, as the operator, install and run software we distribute (such as the ContactBox distribution edition and the MumoStream server) on your own server. The conditions of this section apply in the same way to any software we may distribute in the future. The operator is the controller of the data that accumulates in the self-hosted software, and we neither hold nor access that data.

16.1 License

We grant the operator a non-exclusive, non-transferable right to install, operate, and use the self-hosted software in accordance with these Terms. Except where permitted by applicable law, the operator must not reverse-engineer the self-hosted software or redistribute or resell it beyond the scope of the license.

16.2 The operator's responsibilities

The operator is responsible for the following.

• Building, publishing, and securing the server environment (including enabling HTTPS, applying access controls, and changing the initial admin password).
• Managing the personal information of end users handled by the self-hosted software, complying with applicable laws, and establishing and presenting a privacy policy to end users.
• Deciding on and implementing policies for the retention, backup, and deletion of the data that accumulates.

16.3 No warranty and limitation of liability

The self-hosted software is provided "as is." We make no warranty whatsoever as to its fitness for a particular purpose, its completeness, its freedom from error, or its continued provision, and except in cases of our willful misconduct or gross negligence, we are not liable for any damages incurred by the operator or its end users in connection with the use of the self-hosted software. Third-party software incorporated or used by the self-hosted software (such as FFmpeg) is subject to its respective license.

17. Sales of software licenses and trial licenses

These are the conditions that apply to the software licenses we sell through this website or through the checkout pages we direct you to ("paid licenses"). They apply in the same way to any software we sell in the future. The information required under the Act on Specified Commercial Transactions of Japan is set out in our Notice under the Act on Specified Commercial Transactions. By completing the purchase of a paid license, you are deemed to have agreed to these Terms, including this Section. The conditions for the trial licenses we issue free of charge are set out in 17.9.

17.1 Form of sale and license

A paid license unlocks the paid features of the software when its license key is registered in the software. We grant the purchaser a non-exclusive, non-transferable right to use the software under these Terms and the conditions shown on the product page (such as the number of devices covered and the scope of features). Unless otherwise stated on the product page, a paid license is a one-time purchase with no fixed term of use.

17.2 Payment

You pay the amount shown on the checkout page when the checkout is completed. Prices for purchases made from within Japan include Japanese consumption tax. Payments are processed through Stripe, our payment service provider, and we do not receive card numbers or other payment details. For purchases from outside Japan, the currency and amount charged are as shown on the checkout page, and taxes imposed in your country or region may be added. For purchases from outside Japan, Link, LLC, an affiliate of Stripe, Inc., acts as the seller: it receives payment, issues receipts, and collects and remits the taxes imposed in your country or region. Even in that case, we grant the right to use the software, deliver the license key, issue refunds, and handle the other matters set out in this section in accordance with these Terms.

17.3 Delivery of the license key

After payment is completed, we send the license key by email to the address you entered on the checkout page. If the license key does not arrive, please contact us at the address in Section 11. If you lose your license key, you can have it reissued after we verify your identity using the email address you used at purchase. Once a key is reissued, the previous license key can no longer be used and every registered device is deregistered. The number of reissues is limited; if the limit has been reached, please contact us at the address in Section 11. Purchasers must keep their license key confidential.

17.4 Refunds

Because of the nature of the product, you cannot withdraw your application or cancel the contract for a paid license once checkout has been completed. However, if you request a refund at the contact in Section 11 within 14 days, counting from the day after the purchase date, we will refund the full price, regardless of the reason, to the payment method used at purchase. Once the full price has been refunded, the license is revoked and the paid features can no longer be used. In addition to the above, a payment may be reversed or refunded under the rules of the payment service provider or the card issuer. Nothing in this section limits your right to cancel the contract for our failure to perform our obligations (including a failure of the software to conform to the contract), or any rights you have under the consumer protection laws of your country or region (such as a refund or replacement for a major defect). For consumers who reside in Saudi Arabia, software delivered by download is not subject to the right of withdrawal under the Saudi E-Commerce Law. In that case, the full refund within 14 days, counting from the day after the purchase date, under this section still applies.

17.5 Prohibited conduct

Purchasers must not engage in the following conduct.

• Transferring, lending, sharing, or selling a license key to a third party
• Using a license on more devices than the limit shown for the product
• Circumventing or disabling the license-verification feature, or reverse-engineering the software (except where permitted by law)

17.6 Revocation of a license

We may revoke a license if the purchaser violates 17.5, if a refund is made, or if the payment is disputed (a chargeback).

17.7 Liability for non-conformity

If the software that a paid license makes available does not work as specified by us in an environment that meets the system requirements we have stated, we will provide a corrected version or refund the price. If we are liable for damages in such a case, the amount is limited to the price paid, except in cases of our willful misconduct or gross negligence.

17.8 Sales regions

We sell paid licenses only to persons who reside in the countries and regions shown on the purchase page for each product (the "Sales Regions"). Through our payment service provider, we do not accept purchases with a billing country or region outside the Sales Regions. By completing a purchase, you represent that you reside in a Sales Region and that the billing country or region you enter on the checkout page matches the country or region where you reside. If this representation turns out to be untrue, we may refund the price, terminate the contract, and revoke the license.

17.9 Trial licenses

To anyone who applies on the product site of software for which we offer trial licenses (in this 17.9, the "eligible software"), we issue free of charge a license that allows the use of the paid features of the eligible software for a limited period (a "trial license"). Trial licenses are issued for each type, such as each eligible software product and edition (each a "trial license product"). By applying for a trial license, you are deemed to have agreed, at the time of application, to these Terms, including 17.9, and to our Privacy Policy. The following conditions apply to trial licenses.

• The trial period starts when the trial license is issued. We set the length of the trial period for each trial license product and may change it; a change applies to trial licenses issued after the change. The expiry date and time are shown on the page where the license is issued and in the email that delivers the license key.
• The trial license products, the features available with each product, and the number of devices on which a trial license can be registered are shown on the trial license application page of the product site of the eligible software.
• Each person may receive only one trial license per trial license product. We do not issue a trial license to an email address that has already received a trial license of the same trial license product, and we do not accept the registration of a trial license on a device on which a different trial license of the same trial license product has been registered. This check applies only for the period during which we keep the records used for it (1 year from the date of the record; see 18.7 of our Privacy Policy).
• You must not circumvent these limits, for example by using multiple email addresses or by changing the information used to identify a device.
• We may refuse applications made with disposable email addresses, applications we determine to have been submitted automatically, and applications from email addresses or IP addresses that we determine to have been used for misuse or other conduct in breach of these Terms.
• You may use a trial license for any purpose, including business use. We acquire and claim no rights to the files you create using a trial license, and we do not restrict your use of those files after the trial period ends.
• When the trial period ends, the paid features made available by the trial license can no longer be used. If the eligible software has features that can be used free of charge, you may continue to use those features. Registering the license key of a paid license makes the features of that paid license available. The operation of the eligible software after the trial period ends is governed by the provisions of these Terms that apply to the eligible software (for NyXGridEncode, 15.7).
• We may suspend or stop accepting applications for trial licenses without notice, including when the number of trial licenses issued in a day reaches the limit we set, when we receive a large number of applications, when necessary to prevent misuse, or in other cases where we consider it necessary. We may suspend or stop accepting applications for each trial license product separately.
• Persons who reside in the European Union (EU), the European Economic Area (EEA), or the United Kingdom may not apply for a trial license. By applying, you represent that you do not reside in any of these countries or regions.
• Trial licenses are provided free of charge, and we make no warranty whatsoever regarding the issuance of a trial license or the operation of the eligible software during the trial period. Except in cases of our willful misconduct or gross negligence, we are not liable for any loss or damage arising in connection with the use of a trial license.
• Because trial licenses are issued without payment, 17.1, 17.2, 17.4, 17.7, and 17.8 do not apply to them. The right to use the eligible software with a trial license, license verification, and device registration are governed by the provisions of these Terms that apply to the eligible software (for NyXGridEncode, 15.1 and 15.2). Where no such provisions apply to the eligible software, we grant you a non-exclusive, non-transferable right to use the eligible software during the trial period in accordance with these Terms. The provisions of 17.3 on keeping the license key secure and on reissuing a lost license key, 17.5, and 17.6 also apply to trial licenses, with "purchaser" read as the user of the trial license and "the email address you used at purchase" read as the email address you used to apply for the trial license. Reissuing a key does not change the expiry date. We may also revoke a trial license if you breach any condition in 17.9.
